1) About the Terms and Conditions

These Terms and Conditions govern your use of our services. By using CINEBID, our services, or our platform (the “Platform”), you fully and unconditionally accept these terms. Please read them regularly to stay informed of any changes.

CINEBID S.A.S. ("CINEBID") is a commercial entity incorporated in the Oriental Republic of Uruguay (Tax Identification Number 219882920018), with its registered office at 25 de mayo 491, Montevideo. CINEBID is the service provider for all purposes under these Terms.

We reserve the right to modify these Terms and Conditions at any time without prior notice. Changes will take effect as soon as they are published on www.cinebid.com (the "Site") with the express authorization of CINEBID.

These Terms and Conditions apply solely to our Site and Platform and do not apply to other linked digital media. We recommend that you read the terms of those external platforms to understand their provisions.

If any part of these Terms is deemed null, illegal, or unenforceable by a court, that part will be separated, but the rest of the Terms will remain valid and enforceable to the fullest extent permitted by law.

We take all necessary measures to comply with data privacy requirements. We process your "personal data" in accordance with Uruguay's Law No. 18.331 on the Protection of Personal Data and Habeas Data Action, Decree 414/009, and other complementary regulations. These laws govern the storage, processing, access, and transfer of personal data.

2) Service Characteristics and Availability

CINEBID is committed to providing clear, accurate, and comprehensive information about the characteristics, features, conditions of use, and limitations of our services. All services are subject to availability and may be limited or suspended for operational, technical, or regulatory reasons. We will duly inform users of any such changes.

3) Warranty Disclaimer and Consumer Rights

Unless otherwise stated, CINEBID's services do not include additional commercial warranties. However, nothing in these Terms and Conditions shall limit the legal warranties and consumer rights established under Law No. 17.250 on Consumer Protection of the Oriental Republic of Uruguay.

We are committed to acknowledging receipt of your complaint within a maximum of 5 (five) business days and to providing a substantive response within 20 (twenty) business days.

5) Equal Access and Non-Discrimination

CINEBID guarantees that access to its services and/or Platform will not be subject to discrimination based on gender, age, ethnicity, religion, nationality, disability, or any other unlawful criterion.

6) Notification of Amendments

We will notify you of all substantial modifications to these Terms and Conditions by publishing them on the Site and, when applicable, by email to your registered address. You have the right to terminate your contractual relationship without penalty if you do not accept the amendments. To do so, you must notify CINEBID in writing.

7) Improper Use and Right of Termination

CINEBID reserves the right to suspend or terminate services for any user who engages in illegal, abusive, fraudulent, or unauthorized use of the Site or Platform. This includes, but is not limited to, content manipulation, intellectual property infringement, security interference, or non-compliance with these Terms.

8) Cookie Policy

CINEBID uses cookies to provide a better service and enhance your browsing experience.

What is a cookie? A cookie is a small text file stored in your browser on your computer, tablet, or smartphone. Cookies are essential for the operation of our Site and Platform, improving navigation and usability. They cannot harm your device.

What types of cookies do we use? We only use first-party cookies, which are sent to your device from our own equipment. These cookies help us to:

• Understand our Site and/or Platform usage.

• Keep our Site and/or Platform secure.

• Improve our Site and Platform functionality.

• Support our marketing activities.

9.1) Application of the Privacy Policy This policy applies only to www.cinebid.com,  our official applications and the Platform. It does not apply to external sites accessed through links on our Platform. Please consult each site's own privacy policy.

9.2) Processing of Personal Data We only collect personal data—information about identified or identifiable individuals—that you choose to provide. We process this data for the following purposes:

• Electronic channel users: To process contact forms, newsletters, and satisfaction surveys (optional).

• Client representatives: For registration and electronic access.

• CINEBID clients/users: To provide the requested services.

• Providers or representatives: For registration and service coordination.

We use or disclose your data only for the purposes outlined and maintain appropriate security measures to protect it.

10) Contract Formation and Consent Validation

Offers for services made through our Site or Platform may be accepted electronically or by telephone. For any transaction to be valid, CINEBID must validate it.

Validation of your transaction requires CINEBID to verify the following:

• That we can effectively and feasibly provide the requested service.

• That we can validate and accept the payment method you proposed.

• That the information you registered matches the details provided during the offer acceptance.

• That the published offer does not contain any errors (e.g., in pricing or currency).

Emails confirming receipt of your order may be automatically generated and do not constitute validation. CINEBID may still reject a transaction after sending these emails if the conditions above are not met.

All electronic sales are subject to actual fulfillment. If a service cannot be rendered, we will refund the amount paid.

11) Payment Methods

CINEBID will always inform you of the price of its services and the accepted payment methods, which may include cards, digital wallets, banks, and electronic payment systems.

Please note that CINEBID does not manage your transactional data directly. This data is handled by the servers of each financial institution or payment gateway.

You can request details of your information and exercise your rights of access, rectification, update, inclusion, and deletion by emailing legal@cinebid.com.

12) Links to Third-Party Content or Sites

CINEBID may provide access to third-party information or hyperlinks to other websites. The information in our records does not imply endorsement of or responsibility for third-party advice, opinions, products, or services.

Accessing other sites is your sole responsibility. We are not liable for any damages that may result from your use of linked sites, nor do we guarantee the accuracy or availability of their content.

13) Cancellations and Refunds

You may cancel contracted services within 2 (two) business days from the contract confirmation, provided the service has not already been executed. This is in accordance with Article 16 of Law No. 17.250 on Consumer Protection.

To cancel, you must contact us via email at support@cinebid.com or through our available channels.

If the service has already begun or been executed, the right of cancellation will not apply unless CINEBID has breached the contract or is unable to perform the service.

Where a refund is applicable, it will be processed within 15 (fifteen) business days from the request, using the same payment method you used. The timeline may be subject to processing times of the payment gateway or third parties.

14) Limitation of Liability

CINEBID is not liable for any direct, indirect, incidental, or punitive damages, including lost profits, service interruptions, or technical failures, unless such damages are a direct result of our gross negligence or willful misconduct.

We do not guarantee the continuous and uninterrupted availability of our services. We reserve the right to suspend them for technical, maintenance, security, or force majeure reasons without incurring liability.

15) Modification of Services and Conditions

CINEBID reserves the right to modify, update, suspend, or remove its services, features, or availability at any time without justification.

Any substantial modification to these Terms and Conditions will be considered notified via publication on the Site and/or Platform. If you do not accept the new conditions, you may terminate the contractual relationship by notifying us in writing within 10 days of the modification. Your continued use of the Site and/or Platform implies your acceptance of the changes.

16) Dispute Resolution

In case of disputes, we will first seek to resolve them amicably and directly. If no solution is reached within 20 (twenty) business days, you may opt for mediation in accordance with Law No. 19.246, before initiating legal action. This does not limit either party's right to resort to ordinary jurisdiction as established in Section 20.

17) Validity

These Terms and Conditions are effective from the date of publication and will remain in force unless modified by CINEBID. We reserve the right to periodically review and update them.

18) Email Communications

Messages sent via Internet, text messages, or messaging platforms may be subject to interception, loss, or alteration. We assume no responsibility for them and are not liable for any damages or issues related to emails you send us.

19) Trademarks and Copyright

The copyrights for our Site, Platform, screens, information, and all materials belong to CINEBID or are licensed to us. You may not alter or modify any material you print or download from the Site, Platforms, or official applications. Unauthorized distribution or use of our material is prohibited.

CINEBID is a registered trademark of CINEBID, and all rights are reserved. The CINEBID trademark, logo, or brand name may not be used or reproduced without our prior written consent.

20) Security

We are responsible for information obtained from our users during normal operations. Access to your information is restricted to employees who need it to provide you with services. We maintain physical and electronic security procedures.

If registration is required, you must provide accurate and complete information and keep it updated. You must take necessary precautions to keep your login credentials private and log out after your session to prevent unauthorized use. Report any unauthorized access to CINEBID immediately.

21) General Provisions

The purchase of products or services through our Site or Platform is restricted to individuals over 18 years of age.

Any delay or failure by CINEBID to enforce strict compliance with these Terms and Conditions shall not be interpreted as a waiver of our rights.

22) Consent

By choosing to share your personal information with CINEBID, you will be asked to provide consent in accordance with Law 18.331. This consent allows us to collect and process your personal data and to transfer it abroad to our subsidiaries, divisions, global groups, and/or subcontracted processors under the conditions stated herein.

If you do not grant express consent for the processing of your personal data, we will be unable to provide you with the requested products, services, or information.

23) Jurisdiction and Applicable Law

Any matter between CINEBID and the user shall be governed by the laws of the Oriental Republic of Uruguay. Any dispute shall be submitted to the jurisdiction of the courts of the Oriental Republic of Uruguay.
